1 – Purpose

These general terms and conditions are intended to define the terms and conditions for the provision of services (hereinafter: the "Services") accessible on the site www.up-review.co/en directly from a web browser, as well as the rights and obligations of the parties in this context.

This Service is offered by Up Review, SARL registered in Montpellier under RCS number 978 486 694 with a share capital of €1,000, headquartered at 955 Avenue de l’Agau, 34970 LATTES, hereinafter referred to as "Up Review". The member undertakes to read and unreservedly accept these terms upon first use of the services.

2 – Access to the services

The Services are accessible :

– To any natural person with full legal capacity to commit under these general conditions. A natural person without full legal capacity may only access the Services with the consent of their legal representative.

– To any legal entity acting through a natural person with the legal capacity to contract on behalf of the legal entity.

3 – Description of the service

Up Review allows companies to (non-exhaustive list) :

– Create and customize QR codes
 – Create and customize mini websites
 – Create and customize contests
 – Create and customize communication materials
 – Print and order communication materials
 – Access statistics

These features will hereinafter be referred to as “the functionalities”.

4 – Acceptance of the general conditions

Acceptance of these general conditions is formalized by registering and first using the Up Review services. This acceptance can only be full and complete. Any acceptance subject to conditions shall be considered null and void. Members who do not accept these terms must not access the Services.

5 – Information provided

The Member guarantees that all information given in the registration form is accurate, up to date, truthful, and not misleading. The Member certifies to be over 18 years old at the time of registration, or to act as the legal representative of a minor.

6 – Intellectual Property

Up Review holds all intellectual property and copyright rights to the upreview.fr platform. Any reproduction or use of the platform without prior written authorization from Up Review is strictly prohibited.

7 – Flexible pricing

Up Review’s prices may change at any time without affecting existing contracts. If a price modification applies at the end of a subscription period, the client will be informed at least 30 days before its effective date.

8 – Protection of customer data

Up Review undertakes to protect customer data in accordance with applicable regulations, including the GDPR.

9 – Plans, free trial, subscription, automatic renewal, and termination

9.1 Plans: Users can choose between several subscription plans: Basic, Starter, and Business.

9.2 Free trial: A 7-day free trial is available for Starter and Business plans.

9.3 Subscription: Users may subscribe to paid Starter or Business plans.

9.4 Automatic renewal: Unless canceled before the end of the commitment period, subscriptions renew automatically.

9.5 Termination: Users can terminate anytime from their account.

10 – No right of withdrawal

As per Article L. 221-28 of the French Consumer Code, our SaaS services are not eligible for the 14-day withdrawal right. Once subscribed and activated, no refund will be issued.

11 – Payment failure

In case of payment failure, access to the platform will be suspended until the issue is resolved.

12 – Printing and delivery issues

Up Review is not responsible for printing or delivery issues of communication materials. Customers are invited to contact support: contact@upreview.fr.

13 – Platform access

Access may be suspended in case of non-payment or violation of the T&Cs.

14 – Responsibility for prizes configured by members

Up Review is not responsible for the setup, delivery, or probability of prizes created by members on the platform.

15 – Technical support

Support will respond as quickly as possible but without guarantee of result.

16 – Interaction with end users

Up Review cannot interact directly with end users of its clients.

17 – Commitment

As long as a subscription plan is active, the client must continue to pay for the service.

18 – Platform maintenance

The platform may undergo maintenance. Up Review will notify clients of prolonged interruptions.

19 – Protection of client and end-user data

Up Review commits not to sell customer or end-user data.

20 – Prohibited behavior

Fraudulent, unlawful, or abusive use of the Services is strictly prohibited (spam, hacking, illegal activities, etc.).

21 – Data provided by the platform

Results, data, and statistics are estimates. Google APIs do not allow real-time collection of all information.

22 – Changes to T&Cs

The T&Cs may change without prir notice but will always be available on www.upreview.fr.

23 – Disputes & Jurisdiction

Any disputes will be subject to the exclusive jurisdiction of the Montpellier court, France.

24 – Data Protection (French “Informatique et Libertés” law)

In accordance with the French Data Protection Act (Law 78-17 of 6 January 1978), customers have the right to access, rectify, and oppose the processing of their data.
